The Senior Manager, Legal Counsel - Commercial Contracts will serve as a resource for the commercial operations of Stryker's U.S. selling divisions. The position reports to the Senior Director Legal Counsel, Strategic & Government Contracting. This professional will work with sales personnel within Stryker U.S. selling divisions on a broad range of commercial sales matters including sales agreements with group purchasing organizations, integrated delivery networks and independent/single site hospitals. This attorney will be a key partner with business and functional units on a broad range of matters.
**Essential Duties & Responsibilities:**
+ Independently drafts and edits contracts and proactively handles various transactional matters related to Stryker's U.S. commercial sales contracting (including group purchasing organizations, integrated delivery networks, distributors, strategic accounts, professional service agreements and local pricing agreements).
+ Acts as a legal business partner to operations and commercial personnel within selling divisions to execute Stryker's sell-side contract strategy.
+ Possesses knowledge with the legal and regulatory framework concerning the sale and marketing of medical devices/technologies including matters related to anti-trust, fraud and abuse, anti-kickback and the discount safe harbor;
+ Responsible for a large number of issues, prioritizing, and delivering timely results.
+ Responsible for contributing to solutions to problems which could have a significant impact on the company.
+ Responsible for providing legal advice related to multiple issues and making decisions related to legal matters which could have a large financial impact on the company including areas involving litigation, intellectual property, compliance with laws, investigations, contracting, government relations, sales agreements, tender agreements, company secretarial issues, tax matters, and supply or vendor relationships among others.
+ Follows and educates others on core contract management processes for execution and filing of agreements.
+ Collaborates and communicates with colleagues, management and outside counsel on issues related to commercial sales.
**Qualifications & Experience:**
+ Law degree and admission to practice law.
+ Requires a thorough understanding of all areas of the selling business including impact of other functions (regulatory, operations, supply chain, manufacturing, sales, among others), other businesses, and geographies.
+ Requires regular interaction with outside organizations including industry associations, law firms, vendors, customers, government agencies, consultants, health care professionals, and contractors, among others.
+ Minimum 3 years applicable professional experience; prior professional experience considered.
+ Demonstrates good judgment and professional demeanor.
